Job Summary
Supporting corporate governance and strategic transactions, the full-time Senior Counsel - Corporate will provide legal counsel on securities law, M&A, and compliance matters while working remotely.
Key responsibilities
- Provide legal and business guidance for financing and strategic transactions, including M&A due diligence and negotiations
- Oversee corporate secretarial functions, including preparation for board meetings and compliance audits
- Develop and maintain policies for compliance with SEC regulations and manage legal service budgets
Required qualifications
- Juris Doctor (JD) degree from an accredited law school and admission to a US state bar in good standing
- Minimum of 7 years of legal experience, with at least 3 years in the healthcare industry as in-house counsel
- Experience in corporate governance, M&A, and equity compensation
- Strong understanding of relevant laws and regulations, including SOX and Dodd-Frank Act
- Demonstrated ability to manage multiple projects in a fast-paced environment with minimal supervision
