Corporate Counsel (State Licensed)

Job Summary

To support a rapidly scaling global AI technology company, the Corporate Counsel (State Licensed) will provide strategic legal advice on corporate governance, capital structure, and international expansion in a hybrid work environment.

Key responsibilities

• Serve as a key legal adviser on corporate governance matters, partnering with senior leadership and the Board on significant corporate decisions
• Own legal workstreams related to equity compensation, strategic transactions, and international corporate structure
• Lead high-priority legal initiatives and manage external counsel relationships to ensure efficient execution and high-quality legal advice

Required qualifications

• J.D. from an accredited U.S. law school and active membership in good standing with at least one U.S. state bar
• 5-10+ years of corporate legal experience, particularly in complex transactions and corporate governance
• Strong expertise in corporate law, including equity compensation and shareholder matters
• Demonstrated ability to independently manage high-stakes legal matters from inception to resolution
• Exceptional commercial acumen with experience advising senior executives and influencing decisions
