Florida Licensed Senior Transactional Attorney

Job Summary

To support a growing practice, the full-time Florida Licensed Senior Transactional Attorney will manage corporate transactions and governance matters, providing day-to-day counsel to business clients on entity formation, ownership structuring, and deal negotiations in a fully remote environment.

Key responsibilities

• Handle entity formation, governance document drafting, and ownership capital structuring
• Negotiate and draft commercial contracts, joint ventures, and support capital raises and M&A transactions
• Independently manage a full caseload, coaching junior attorneys and contributing to refining matter plans

Required qualifications

• JD and active membership in the Florida Bar
• 5+ years of experience in business transactions, corporate law, or M&A
• Proven track record of drafting clean, reliable documents and running efficient deal processes
• Strong organizational skills across multiple matters and deadlines
• Clear, persuasive communication with executives and advisors
