M&A Tax Director
Job Summary
As the Managing Director of M&A Tax Diligence, the full-time position will lead the tax diligence capability within the Transaction Advisory Services practice, focusing on providing strategic tax insights for private equity transactions while collaborating closely with financial due diligence teams and stakeholders in a hybrid work environment based in Denver or Chicago.
Key Responsibilities
- Serve as the lead tax advisor on complex buy-side and sell-side transactions, overseeing due diligence processes and providing strategic recommendations
- Coordinate tax findings with financial due diligence teams and legal counsel to ensure integration into the overall transaction narrative
- Develop and refine tax diligence methodologies, templates, and frameworks to build a scalable practice
Required Qualifications
- 15+ years of M&A tax experience, preferably in a Big 4 firm or national advisory practice with exposure to middle-market PE transactions
- Deep technical expertise in corporate and flow-through tax structuring, including entity classification and partnership taxation
- Extensive experience preparing detailed tax due diligence reports and presenting findings to sponsors and deal teams
- JD/LLM in Taxation, CPA, or equivalent credential strongly preferred
- Proven ability to communicate complex tax positions clearly and effectively to diverse stakeholders
