Job Summary

Supporting the Emerging Companies & Venture Capital practice, the full-time remote Paralegal will manage venture financings, entity formations, and equity administration while collaborating directly with attorneys and clients to ensure smooth transaction processes.

Key responsibilities

• Support venture financings from term sheet through closing, including drafting documents and managing logistics
• Assist with due diligence for startup-side M&A, organizing data rooms and tracking requests
• Serve as a direct point of contact for clients on document requests and status updates

Required qualifications

• 3+ years of corporate/transactional paralegal experience with a focus on ECVC
• Experience with capitalization management platforms like Carta or Shareworks
• A four-year degree and/or paralegal certificate from an ABA-approved program
• Solid knowledge of NVCA-style financing documents and exposure to startup-side M&A
• Substantial experience with Excel and strong organizational skills
