Job Summary
Supporting SEC reporting and corporate governance, the remote contract Securities & Corporate Governance Counsel will manage SEC filings, advise on securities compliance, and collaborate with various departments in a fast-paced public company environment for a duration of 6 months.
Key responsibilities
- Draft and advise on 10-K, 10-Q, 8-K, proxy statements, and other SEC filings
- Review earnings materials, press releases, and internal communications for compliance
- Advise on federal securities laws, SEC rules, and corporate governance matters
Required qualifications
- J.D. and active U.S. bar membership
- 10+ years of corporate law experience
- Deep SEC reporting and disclosure experience
- Strong knowledge of securities laws and NYSE listing standards
- Experience supporting boards and executive leadership
