Job Summary

Overseeing 1Password's Corporate Legal function, the full-time Senior Director, Corporate Counsel will provide strategic legal guidance on M&A activity, international expansion, and corporate governance matters while working remotely within the United States or Canada.

Key responsibilities

• Lead legal workstreams for mergers and acquisitions, including due diligence, negotiations, and transaction documentation
• Advise on legal considerations and regulatory requirements related to international operations and expansion
• Oversee corporate governance processes and manage litigation and dispute resolution matters

Required qualifications

• Juris Doctor with active bar membership in Canada or the United States and at least 10 years of relevant experience
• Experience leading or supporting mergers and acquisitions, including due diligence and negotiations
• Strong knowledge of corporate governance, securities laws, and entity management
• Experience advising on international expansion and managing public company compliance
• Ability to identify legal risks and develop practical mitigation strategies
