Senior Corporate Counsel, Securities Law
Job Summary
To support a leading publicly traded healthcare technology organization, the remote Senior Corporate Counsel, Corporate Governance & Securities will oversee corporate governance, SEC compliance, securities reporting, and strategic legal initiatives while partnering with executive leadership in a fast-paced global environment on an 8-month contract with potential for extension.
Key responsibilities
- Lead Board of Directors and committee governance activities, including preparation and review of materials and documentation
- Oversee SEC filings and manage insider trading compliance and related reporting matters
- Advise leadership on corporate governance, securities law, and regulatory developments while partnering with cross-functional teams
Required qualifications
- Juris Doctor (JD) degree and active U.S. bar license
- 12+ years of corporate legal experience in a law firm and/or public company environment
- Extensive experience with SEC reporting, securities compliance, and corporate governance
- Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, and Dodd-Frank requirements
- Experience supporting Board matters and subsidiary governance
