Senior Counsel, M&A Integration

Job Summary

To support Procore's post-acquisition success, the full-time remote Senior Counsel, M&A Integration will manage the end-to-end legal integration of acquired companies, collaborating with cross-functional teams to drive integration strategy and mitigate associated risks.

Key responsibilities

• Lead the legal lifecycle by project managing the integration of acquired entities and ensuring alignment with Procore standards
• Drive integration strategy by partnering with Corporate Development to identify risks during due diligence and influence the integration roadmap
• Serve as the central legal contact, ensuring milestones are met and facilitating executive outreach regarding integration progress

Required qualifications

• J.D. and active State Bar membership in good standing
• 10+ years of relevant experience in M&A integration and legal operations, preferably in a SaaS or high-growth technology environment
• Extensive experience in complex SaaS transactions and a strong understanding of global privacy laws
• Proven ability to design commercial integration frameworks and manage operational transitions for acquired teams
• Familiarity with Google Workspace, project management applications, and tools like Salesforce and Ironclad is a strong plus
