Job Summary
To support a leading publicly traded healthcare technology organization, the part-time contract Senior Corporate Counsel, Corporate Governance & Securities will oversee corporate governance, SEC compliance, and securities reporting while working remotely with minimal travel to Tempe, AZ.
Key responsibilities
- Lead Board of Directors and committee governance activities, including preparing and reviewing documentation
- Oversee SEC filings and manage insider trading compliance and related reporting matters
- Advise executive leadership on corporate governance and regulatory developments while partnering with cross-functional teams
Required qualifications
- Juris Doctor (JD) degree and active U.S. bar license
- 12+ years of corporate legal experience in a law firm and/or public company environment
- Extensive experience with SEC reporting, securities compliance, and corporate governance
- Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, and Dodd-Frank requirements
- Experience supporting Board matters, proxy statements, and subsidiary governance
