Tax Counsel - Washington D.C. Licensed

Job Summary

Seeking a Senior Counsel - Tax & Structuring, licensed in Washington D.C., who will work remotely to drive tax efficiencies across funds, portfolio transactions, and structuring while collaborating with internal and external legal and finance teams.

Key responsibilities:

• Design and implement tax-efficient structures for funds and transactions across the portfolio
• Conduct tax diligence and negotiate tax representations, covenants, and indemnities for M&A transactions
• Write internal memos for senior leadership and collaborate with outside tax counsel and accountants on complex tax issues

Required qualifications:

• J.D. and currently licensed to practice in good standing in a U.S. jurisdiction
• 7+ years of tax experience with substantial fund, entity, and transaction structuring work
• Meaningful experience in the tax side of M&A transaction structuring and post-closing obligations
• Experience with venture financing tax mechanics, QSBS planning, and equity compensation structuring
• Demonstrated sound judgment and the ability to make independent decisions under deal pressure
